These Terms of Service ("Terms") govern your use of the Islamic banking services provided by nexusrise AG ("we", "our", or "us"), a German Aktiengesellschaft registered under number HRB846923. By accessing our website, opening an account, or using any of our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

nexusrise AG is a German banking institution licensed to provide Islamic banking services in compliance with both German financial regulations and Sharia principles. We are headquartered at Waldstraße 92, 20993 Hamburg, Germany, and operate under the supervision of German financial authorities. Eligibility and Account Opening

To use our services, you must meet the following requirements:

• Have the legal capacity to enter into binding agreements

All fees, charges, and profit-sharing arrangements will be clearly disclosed to you before you agree to any service. We may change our fees with reasonable notice. You are responsible for all applicable taxes related to your use of our services.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to our data processing practices as described in the Privacy Policy and in compliance with GDPR and German data protection laws.

Intellectual Property

All content, materials, software, and intellectual property related to nexusrise AG and our services are owned by us or our licensors. This includes but is not limited to trademarks, copyrights, patents, trade secrets, and proprietary information. You may not copy, modify, distribute, sell, or lease any part of our services or intellectual property without our express written permission. You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose only.

Limitation of Liability

To the maximum extent permitted by German law, nexusrise AG's liability for any claims arising from or related to these Terms or our services is limited to the amount of fees paid by you to us in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. This limitation applies regardless of the legal theory upon which the claim is based. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless nexusrise AG, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Hamburg, Germany. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Dispute Resolution

We encourage clients to contact us directly to resolve any disputes or concerns. If a dispute cannot be resolved through direct communication, it may be subject to mediation or arbitration as agreed between the parties or as required by applicable law. For consumer disputes, you may also have the right to use alternative dispute resolution procedures.

Termination

Either party may terminate the banking relationship and these Terms with appropriate notice as specified in your service agreements. We may terminate or suspend your access to our services immediately if you breach these Terms, engage in fraudulent activities, or if required by law or regulatory authorities. Upon termination, you remain liable for all outstanding obligations, and we will handle the closure of accounts and return of funds in accordance with applicable laws and regulations.

Force Majeure

nexusrise AG shall not be liable for any failure or delay in performance under these Terms that is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labour disputes, or technical failures. We will make reasonable efforts to notify you of such circumstances and resume performance as soon as practicable.

Amendments

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide reasonable notice of material changes through our website or direct communication. Your continued use of our services after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your relationship with us in accordance with the termination provisions.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that comes closest to the economic effect of the invalid provision.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and nexusrise AG regarding the use of our services. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
